Partnership
Grow with us.
Become part of it.
We are building Auras und Bielawski step by step into a company with strong business units. People who believe in this path are invited to take part – on fair and open terms.
The idea
Building on
together.
With TMB Invest, Mr. White, Agentur56 and Auras Marketings, four business units have taken shape. For the next steps we are not looking for anonymous investors but for partners who know us, trust us and want to walk the path with us.
- 01
Close to the action
A direct line to the founders instead of an anonymous platform. You know who stands behind the decisions.
- 02
Real insight
You learn what we are working on, what is going well and where things get stuck – openly, clearly and regularly.
- 03
Get involved
Experience, network and ideas are welcome. Those who want to can help shape the next steps.
Our promise
Fair terms are non-negotiable for us.
A partnership only works when both sides meet as equals. These principles apply to every participation.
- 01
Equal terms
All partners in a participation round receive the same terms. No special deals in the background.
- 02
Open figures
Before you decide, you get insight into business figures, planning and risks – not only the good sides.
- 03
Clear contract
Participation, term, termination and information rights are set out in writing and in plain language in the contract.
- 04
No hidden costs
All costs and conditions are fully stated in the documents. What is not in there does not apply.
- 05
Regular reports
Partners are informed regularly about the company's development – even when things do not go to plan.
- 06
Time to think
No pressure, no artificial deadlines. You only decide once you have been able to review all documents at your own pace.
Forms of participation
Three ways to become part of the journey.
Which form fits depends on how active you want to be and how much risk you are willing to carry. We work that out together.
Share in the success
Silent partnership
You participate in the company and its results with a capital contribution – without appearing externally as a partner.
- Share in profits as agreed in the contract
- Liability generally limited to the contribution
- Information and control rights as per contract
Capital linked to results
Profit-participating loan
You provide the company with a loan whose remuneration depends on the business result.
- Remuneration depends on business success
- Fixed term and repayment as per contract
- No partner status, no co-management
Actively shaping
Strategic partnership
For people who want to move the company forward with their own work, experience or network – up to joining as a partner.
- Individually structured, only after getting to know each other thoroughly
- Say and responsibility as a partner
- As a partner in a GbR you are also personally liable
How it works
Four steps to a partnership.
Without time pressure and with all documents on the table before anything is signed.
- Step 1
Getting to know each other
You write to us, we talk without obligation: about you, about us and about whether it fits.
- Step 2
Insight
You receive the complete documents: figures, planning, risks and the draft contract.
- Step 3
Review
You take your time and are welcome to have the documents reviewed by a tax advisor or lawyer you trust.
- Step 4
Welcome
Only once all questions are settled do both sides sign. From then on you are part of the journey.
Frequently asked questions
Good to know.
What is the minimum amount to participate?
We set minimum amounts and terms for each participation round together with the contract documents. Get in touch – in conversation we work out which form fits you.
How many partners do you take on?
Deliberately few. We want to know every partner and grant participations only individually and in limited numbers.
Am I liable for the company's debts?
That depends on the form. With a silent partnership or a profit-participating loan your risk is generally limited to the amount invested. Anyone who joins the GbR as a partner, however, is also personally liable for its obligations.
Can I exit again?
Term and termination are governed by the contract. Company participations are not traded on an exchange and usually cannot simply be transferred – so plan for the long term.
How are returns taxed?
That depends on the form of participation and your personal situation. Please consult a tax advisor; we do not provide tax or investment advice.
Important notes
An entrepreneurial participation involves risks – up to the complete loss of the capital invested. Profit shares and remuneration depend on business success and are not guaranteed. Only participate with money you can do without for the long term.
This page is an invitation to talk. It is not a public offer to acquire investment products and not investment, legal or tax advice. We grant participations only individually, on the basis of complete contract documents and within the legal framework. Statutory rights of withdrawal remain unaffected. We recommend seeking independent legal and tax advice before making a decision. How we handle your details is described in our privacy policy.
